1. Agreement to Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("Client," "Talent," or "User") and Celvenza Agency, a talent management company registered in the Kingdom of Saudi Arabia with its principal office at King Abdullah Financial District, Tower 3, Riyadh 12345 ("Company," "we," "us," or "our"). By accessing our website or engaging our services, you agree to be bound by these Terms in their entirety. If you do not agree, you must discontinue use immediately.

2. Definitions

  • "Talent" refers to models, brand ambassadors, influencers, and other creative professionals represented by Celvenza Agency
  • "Client" refers to any individual, company, or organization that engages Celvenza Agency's services
  • "Booking" refers to any confirmed engagement of Talent through Celvenza Agency
  • "Services" refers to all talent management, booking, production, and related services offered by Celvenza Agency
  • "SAR" refers to Saudi Arabian Riyals, the official currency of payment

3. Services

Celvenza Agency provides the following services subject to these Terms:

  • Model and talent representation and management
  • Talent booking and placement for commercial, editorial, and event engagements
  • Event staffing and brand ambassador services
  • Production services including creative direction, styling, and photography coordination
  • Talent development and training programs
  • Influencer management and digital marketing partnerships

All services are subject to availability and confirmation by Celvenza Agency.

4. Booking and Engagement Terms

4.1 Booking Process

All bookings must be made through Celvenza Agency directly. Clients may not contact or engage Talent directly for bookings that bypass the Company. A booking is considered confirmed only upon receipt of written confirmation from Celvenza Agency and payment of the required deposit.

4.2 Deposit and Payment

  • A 50% deposit is required upon booking confirmation
  • The remaining balance is due within 7 calendar days of project completion
  • All payments must be made in Saudi Riyals (SAR) via bank transfer or approved payment method
  • Late payments incur a 2% monthly surcharge on the outstanding balance
  • Celvenza Agency reserves the right to suspend services for accounts with overdue payments

4.3 Pricing

All prices listed on our website and in proposals are in Saudi Riyals and are exclusive of Value Added Tax (VAT) at the prevailing rate (currently 15%) unless stated otherwise. Celvenza Agency reserves the right to adjust pricing with 30 days' written notice.

5. Cancellation Policy

  • More than 7 days before booking: Full refund of deposit
  • 3-7 days before booking: 50% of deposit refunded
  • Less than 72 hours before booking: No refund; full fee payable
  • No-show by Client: Full fee payable with no refund

Celvenza Agency may cancel a booking due to force majeure events including but not limited to natural disasters, government restrictions, health emergencies, or other circumstances beyond reasonable control. In such cases, a full refund or rescheduling will be offered.

6. Intellectual Property and Image Rights

6.1 Usage Rights

Image usage rights are specified in the individual booking agreement. Unless otherwise agreed in writing:

  • Usage rights are granted for the specified campaign, territory, and duration only
  • Extension of usage requires additional licensing fees
  • All images must credit Celvenza Agency where reasonably practicable

6.2 Restrictions

Clients may not:

  • Use images beyond the agreed scope without written permission
  • Alter, distort, or manipulate images in a manner that misrepresents or demeans the Talent
  • Use images in connection with content that is unlawful, defamatory, or contrary to Saudi Arabian laws and cultural values
  • Sub-license images to third parties without Celvenza Agency's written consent

7. Client Responsibilities

The Client agrees to:

  • Provide a safe, professional working environment for all Talent
  • Comply with all applicable Saudi labor laws and regulations
  • Provide accurate project details including scope, duration, and any special requirements
  • Ensure all content produced complies with Saudi media regulations and cultural norms
  • Not request Talent to perform tasks that are illegal, unsafe, or contrary to their representation agreement
  • Provide appropriate facilities including changing areas, refreshments, and rest breaks

8. Talent Representation Terms

Talent represented by Celvenza Agency agrees to:

  • Maintain professional standards of appearance and conduct at all bookings
  • Arrive punctually and prepared for all confirmed engagements
  • Not accept bookings from clients directly without Celvenza Agency's involvement
  • Keep Celvenza Agency informed of any changes to availability, appearance, or contact details
  • Comply with exclusivity provisions as specified in their representation agreement

9. Liability and Indemnification

9.1 Limitation of Liability

To the maximum extent permitted by Saudi law, Celvenza Agency's total liability for any claim arising from or related to our services shall not exceed the total fees paid for the specific booking in question. Celvenza Agency shall not be liable for indirect, consequential, incidental, or punitive damages.

9.2 Indemnification

The Client agrees to indemnify and hold harmless Celvenza Agency, its officers, employees, and Talent from any claims, damages, or expenses arising from the Client's breach of these Terms, misuse of images, or negligent acts or omissions.

10. Confidentiality

Both parties agree to maintain confidentiality of all proprietary information exchanged during the business relationship. This includes but is not limited to pricing structures, client lists, talent details, campaign strategies, and financial information. This obligation survives the termination of any engagement.

11. Non-Solicitation

The Client agrees not to directly solicit, recruit, or engage any Talent represented by Celvenza Agency for a period of 12 months following the last booking, except through Celvenza Agency. Violation of this clause entitles Celvenza Agency to a penalty equal to 200% of the standard booking fee.

12. Website Terms of Use

  • All content on this website is the intellectual property of Celvenza Agency
  • Users may not reproduce, distribute, or modify website content without written permission
  • Celvenza Agency does not guarantee uninterrupted or error-free website access
  • Links to third-party websites are provided for convenience; we are not responsible for their content

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Kingdom of Saudi Arabia, including the Saudi Commercial Court Law, the Electronic Transactions Law, and applicable Sharia principles. Any disputes arising from these Terms shall be:

  • First submitted to good-faith negotiation between the parties for a period of 30 days
  • If unresolved, submitted to mediation through the Saudi Center for Commercial Arbitration (SCCA)
  • If mediation fails, resolved through binding arbitration under SCCA rules, with Riyadh as the seat of arbitration
  • The language of arbitration shall be Arabic, with English translation available

14. Compliance with Saudi Regulations

All parties agree to comply with applicable Saudi Arabian laws and regulations including but not limited to:

  • General Authority for Media Regulation guidelines
  • Saudi Labor Law and its executive regulations
  • E-Commerce Law (Royal Decree M/126)
  • Anti-Commercial Fraud Law
  • Personal Data Protection Law (PDPL)
  • Value Added Tax regulations

15. Amendments

Celvenza Agency reserves the right to modify these Terms at any time. Changes become effective upon posting to our website. Continued use of our services after changes constitutes acceptance of the modified Terms. Material changes affecting existing bookings will be communicated directly to affected parties.

16. Severability

If any provision of these Terms is found to be invalid or unenforceable under Saudi law, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.
